Board Secretary

As a Board Secretary at Blockchain Consultancy, you manage corporate governance and board operations while ensuring strict regulatory compliance in Singapore. You coordinate all board and shareholder meetings, maintain accurate records, and oversee the execution of board resolutions. You also serve as the compliance officer, ensuring adherence to Singapore's Companies Act, ACRA regulations, and MAS/IMDA requirements relevant to blockchain and smart contract auditing services.

What you'll do

• Convene and prepare General Meetings, Board meetings, and committee meetings; draft meeting agendas, business presentations, and board documentation in English
• Record and draft Board meeting minutes with accuracy; oversee cross-departmental execution of Board resolutions and provide regular progress updates to the Board
• Manage communication channels for Board members and shareholders, ensuring transparent dialogue between founders, management, and venture capital investors
• Ensure strict adherence to Singapore's Companies Act and ACRA regulations; manage timely filing of Annual Returns and registration of share capital changes
• Coordinate with legal counsel to ensure technical services and token-related activities operate within a compliant framework under MAS and IMDA oversight
• Safeguard the company seal, registers of directors and shareholders, and critical legal documents including core technical contracts
