Corporate Legal Counsel

As Corporate Legal Counsel at NDAX, one of Canada's largest cryptocurrency trading platforms, you will lead legal strategy for securities law, public policy, and regulatory compliance. You work closely with compliance, product, and executive teams to ensure NDAX meets and exceeds all legal and regulatory obligations while enabling business growth in the fast-evolving cryptocurrency sector.

What you'll do

• Monitor, interpret, and provide strategic legal guidance on all applicable laws, regulations, and policies affecting NDAX, including securities legislation, investment dealer and marketplace regulations, privacy laws, and other relevant compliance frameworks.
• Review, update, and develop company policies to ensure alignment with evolving regulatory requirements.
• Analyze whether potential cryptocurrency assets meet the definition of securities and prepare clear legal summaries to inform business decisions.
• Assist the compliance department with escalated client complaints, dispute resolution, and management of legal proceedings.
• Draft, review, and negotiate NDAs and other corporate contracts and service agreements.
• Provide guidance on public policy matters and represent NDAX's interests in discussions with regulators, industry bodies, and other stakeholders.
• Stay current with emerging developments in cryptocurrency regulation, securities law, and financial services compliance.

What you bring

• A law degree (LL.B. or J.D.) from a recognized institution and active membership in good standing with a Canadian provincial law society.
• Minimum 5 years of experience in securities law, regulatory compliance, or a related practice area.
• In-depth knowledge of Canadian securities regulations, including investment dealer and marketplace rules.
• Strong legal drafting, negotiation, and analytical skills.
• Excellent communication skills with the ability to convey complex legal concepts to non-legal stakeholders.

Nice to have

• Experience in the cryptocurrency, fintech, or financial markets sector.
• Prior work in or with regulatory bodies, investment dealers, or marketplaces.
• Background in public policy, advocacy, or government relations.
