OG.com - Legal Counsel - Capital and Prediction Markets

As Legal Counsel for Capital and Prediction Markets at OG.com, you join the Legal Team advising on securities law, derivatives regulation, and prediction market compliance for a CFTC-regulated platform. You report to the Chief Legal Officer and serve as the team's expert on SEC regulations applicable to National Securities Exchanges and broker-dealers, with a focus on how securities laws intersect with prediction markets and jointly regulated derivatives products.

What you'll do

• Handle legal and regulatory matters for SEC-registered businesses in the US, with expertise in securities laws, SEC regulations, FINRA rules, and familiarity with CFTC and NFA regulations.
• Focus on legal and regulatory issues involving diverse financial instruments including securities products, tokenized securities, single stock futures, equity perpetuals, prediction markets, and derivatives.
• Assist business units with contract terms and conditions, negotiations, and legal support for business operations including licensing and data provisioning.
• Draft, review and update policies, procedures, terms and conditions, and trading rules for various regulated products in the US.
• Represent OG.com before the SEC on a variety of topics.
• Review marketing and sales literature, presentations, and educational materials for compliance with applicable SEC laws and regulations.
• Work with external counsel to ensure arrangements comply with relevant law and regulation in jurisdictions where OG.com operates.

What you bring

• Qualification and license as a lawyer with 3 to 5 years of experience in financial product legal and regulatory work for SEC-regulated clients, whether at a major law firm, a licensed entity such as a broker-dealer or national securities exchange, or the SEC.
• Excellent knowledge of US financial laws and regulatory structures, with a track record of maintaining licenses and building products and operations under these frameworks.
• Understanding of cross-border interactions of US and international laws and regulatory structures, primarily Europe.
• Familiarity with industry practices and professional standards.
• Excellent English verbal and written communication skills.
• Strong organizational and project management skills, with the ability to handle high volume and balance competing demands.
• Ability to concisely and effectively communicate with business teams and management.
• Ability to develop and maintain relationships with stakeholders.
• Willingness to accommodate calls and meetings across different time zones when required.
• Ability to identify problems and issues and propose solutions.
