OG.com - Legal Counsel - Capital and Prediction Markets

As Legal Counsel for Capital and Prediction Markets at OG.com, you serve as the legal team's expert on SEC law and regulations applicable to national securities exchanges and broker-dealers, with a focus on the intersection of securities laws with prediction markets and jointly regulated derivatives products. You report to the Chief Legal Officer in the US and work cross-functionally to enable the development and launch of OG.com's products and services in compliance with applicable law while maximizing commercial opportunities.

What you'll do

• Handle legal and regulatory matters for SEC-registered businesses in the US as part of the OG.com Legal Team
• Provide expertise on Securities laws, SEC regulations, FINRA rules and regulations, with experience or familiarity with CFTC law and NFA regulations
• Focus on legal and regulatory matters involving securities products, tokenized securities, single stock futures, equity perpetuals, prediction markets, derivatives, and the regulatory requirements of such financial instruments
• Assist business units with contract terms and conditions, negotiations, and legal support for licensing, data provisioning, and all aspects of business operations
• Draft, review and update policies, procedures, terms and conditions, and rules related to trading of various regulated products in the US
• Represent OG.com with the SEC on a variety of topics
• Review marketing, sales literature, presentations, and educational materials for compliance with applicable SEC laws and regulations
• Work with external counsel to ensure arrangements comply with relevant law and regulation in jurisdictions where OG.com operates

What you bring

• Licensed as a qualified lawyer with 3 to 5 years of experience in financial product legal and regulatory work handling issues for SEC-regulated clients, gained in a major law firm, at a licensed entity such as a broker-dealer or national securities exchange, or at the SEC
• Excellent knowledge of US financial laws and regulatory structures with a track record of maintaining licenses and building products and operations under these frameworks
• Understanding of the cross-border interaction of US financial laws and regulatory structures, particularly with Europe
• Familiarity with industry practices and professional standards
• Excellent English verbal and written communication skills
• Strong organizational and project management skills, with the ability to handle high volume and balance competing demands
• Ability to concisely and effectively communicate with business teams and management
• Ability to develop and maintain relationships with stakeholders
• Willingness to accommodate calls and meetings across different time zones when required
• Ability to identify problems and issues and propose solutions
