Commercial Counsel

As Commercial Counsel at Morpho, you own the contract lifecycle for our partnerships end to end, reporting to the General Counsel. You will build the legal operations infrastructure and tooling so that standard deals close without waiting on senior lawyers, as Morpho's commercial activity scales across partnerships, integrations, and vendor relationships.

What you'll do

• Manage deal intake and triage of partnership team requests, handle NDAs on both Morpho's paper and counterparty's, and draft and negotiate standard partnership and incentive agreements through to signature packs and signing summaries.
• Build and maintain a single contract repository linked to the CRM, and an obligations register tracking milestones, grant tranches, exclusivity periods, notice windows, and renewals, with alerts to deal owners and Finance.
• Design and implement legal ops infrastructure including negotiation playbooks, a clause library, consolidated templates, a Legal FAQ for recurring partner questions, AI workflows and agents for intake, drafting and review, outside counsel budget tracking, and monthly reporting on legal throughput.
• Manage vendor and SaaS terms, renewals and insurance calendars, due diligence and security questionnaires, internal policy upkeep, and data room hygiene.
• Support corporate housekeeping for Morpho's legal entities and assist on employment, IP, and privacy matters with outside counsel as capacity allows.
• Work daily with the partnership team, Finance, RevOps, BizOps, and outside counsel.

What you bring

• Legally trained (qualified lawyer or equivalent law degree) with 5 to 8 years of commercial contracting experience, including time in-house at a fast-growing technology company.
• Proven experience negotiating partnership, integration, or licensing agreements on both your own and counterparty paper, with strong command of US-style commercial drafting.
• Hands-on experience building legal operations in practice, including contract lifecycle tooling, playbooks, intake processes, and reporting.
• Proficiency with AI tools: you write prompts and skills, automate document workflows, and know when lawyer review remains necessary.
• Comfort working with Finance on payment mechanics, milestones, and budgets, and with a CRM as the source of truth.
• Ability to hold your position with a deal team under time pressure.
• Clear, concise communication with non-lawyers.
• Strong ownership and autonomy at startup pace with limited support-you take initiative without waiting to be told.
• Comfort operating in fast-changing, ambiguous contexts.
• Ability to work across US Eastern time zones with shifting priorities.
• Team-first mindset with low ego.
