Legal Counsel

As a Legal Counsel at Animoca Brands, you will join the legal team supporting a Web3 leader that operates native blockchain projects including Moca Network, Anichess, The Sandbox, and Open Campus, while managing a portfolio of over 540 investments. You will gain early responsibility and direct exposure to commercial and investment work that most lawyers at your level do not see.

What you'll do

• Draft, review and negotiate commercial agreements including game publishing and distribution, IP and brand licensing, marketing and partnership agreements, services agreements and SaaS/vendor contracts
• Support the investments team on early-stage deals such as SAFEs, SAFTs, token warrants, subscription agreements and shareholders' agreements, including diligence and closing mechanics
• Manage corporate housekeeping across group entities including board and shareholder resolutions, corporate records, and coordination with company secretarial providers
• Track regulatory developments relevant to digital assets across key jurisdictions (Hong Kong, Singapore, EU, UAE) and translate them into practical internal guidance
• Assist on intellectual property matters including trade mark portfolio management and brand enforcement
• Work directly with business teams to provide commercial, usable advice quickly
• Support on data privacy, consumer terms and platform compliance questions as they arise

What you bring

• Qualified to practise in Hong Kong or another common law jurisdiction, with 1-2 years' post-qualification experience
• Training or practice at a reputable law firm, or comparable in-house experience
• Solid commercial contract drafting and negotiation skills
• Comfort with ambiguity, volume and pace, with the ability to shift priorities as needed
• Clear, plain-English communication skills when advising non-lawyers
• Sound judgement about when to decide and when to escalate

Nice to have

• Exposure to venture capital or M&A transactions
• Familiarity with digital asset regulation, IP licensing, or the games industry
