As Management Board Member and Finance Lead at Orbital's Estonian entity, Pay Perform AS, you hold collective responsibility under Estonian law for the company's direction, governance and control as it seeks authorisation from the Estonian Financial Supervision Authority (EFSA) as a crypto-asset service provider under MiCA and as an e-money institution. You lead the finance function in Estonia, oversee outsourced and intra-group services, and ensure they meet the standards and service levels the company requires.

What you'll do

  • Serve as a Management Board member (juhatuse liige) of Pay Perform AS with collective responsibility under the Estonian Commercial Code and applicable MiCA, e-money and DORA requirements for the lawful, prudent and compliant running of the company
  • Participate in Management Board meetings in Estonia and collective decisions on strategy, budget, risk appetite, policies and operational resilience
  • Hold a designated area of responsibility on the Management Board matched to your expertise, covering Finance Operations, Customer Operations and Support, or partnerships and outsourcing
  • Set expectations, review performance and risk, and escalate issues to the Management Board and Supervisory Board within your areas of responsibility
  • Prepare and present regular reports to the Supervisory Board, and represent Pay Perform AS to the EFSA, auditors and other external stakeholders
  • Oversee the performance of all services outsourced by Pay Perform AS, including those provided by other Orbital group companies, ensuring the company keeps full responsibility for and control over them
  • Own the service levels and KPIs for each outsourced service, monitor performance against them and carry out your own analysis
  • Report outsourcing performance to the Management Board and Supervisory Board regularly with clear commentary on trends, breaches and remediation
  • Raise and follow through on service failures with providers' management, and recommend changes to or termination of services that do not meet the company's needs
  • Participate in decisions to enter into, amend or terminate outsourcing arrangements, actively manage outsourcing-related risks, participate in risk assessments and due diligence, and keep the outsourcing register up to date
  • Ensure intra-group services are delivered to Pay Perform AS at the agreed levels and that the EFSA's access and audit rights are maintained
  • Lead the finance function for Pay Perform AS, including statutory financial statements under Estonian GAAP, IFRS reporting for group consolidation and the external audit
  • Prepare and submit regulatory financial returns to the EFSA, including own funds, prudential and capital-adequacy reporting and any other regulatory reporting under MiCA and Estonian e-money institution requirements
  • Own capital and liquidity planning, financial forecasts and stress testing for Pay Perform AS, and the financial inputs to its business plan
  • Oversee the safeguarding of client funds and the segregation of client crypto-assets, including reconciliations and the annual audit attestation
  • Own Estonian tax compliance, including corporate income tax, VAT and withholding tax
  • Manage transfer pricing for Pay Perform AS, including the allocation and recharging of group costs for intra-group services
  • Monitor changes in Estonian and EU regulatory reporting requirements, assess their impact on the company and lead implementation of changes
  • Work closely with the group regulatory finance team on regulatory returns, prudential and other finance-related work
  • Share EU and Estonian regulatory finance expertise across the group, including on MiCA prudential requirements
  • Help improve regulatory reporting processes and systems across the group, including through automation and AI tools
  • Uphold fit and proper standards on an ongoing basis as required by the EFSA and the Estonian Commercial Code

What you bring

  • Based in Tallinn with full right to work in Estonia; this role requires local presence and cannot be performed remotely
  • Qualified accountant (ACCA, CIMA, ACA, CPA or equivalent) with significant experience in finance within regulated financial services, including at senior level
  • Experience preparing regulatory returns and own funds or capital reporting for an EU-regulated firm such as an EMI, payment institution, credit institution, CASP or investment firm
  • Expertise in one or more of Finance Operations, Customer Operations and Support, or outsourcing and partnerships
  • Experience overseeing outsourced or third-party services, including setting and monitoring service levels and KPIs
  • Working knowledge of Estonian GAAP and IFRS, and of transfer pricing within a group
  • Clean fit and proper profile as required by the Estonian Commercial Code and the EFSA's assessment: no unspent convictions for economic, official or property offences; no regulatory sanctions; no pending proceedings; good repute
  • Fluent English (group working language); professional-level Estonian strongly preferred

Nice to have

  • Previous service on the management board (juhatus) or similar governance body of a regulated entity
  • Direct experience dealing with the EFSA, ideally including a licence application or material regulatory change
  • Knowledge of MiCA, DORA and the EBA Guidelines on outsourcing arrangements
  • Experience in a CASP, EMI or payments business operating within an international group
  • Experience of regulatory finance in more than one jurisdiction, such as the UK or Gibraltar
  • Experience automating finance or regulatory reporting processes
  • Familiarity with blockchain and digital-asset business models

What we offer

  • Base salary of €45,000 to €60,000 per annum depending on experience, plus additional compensation for Board Management responsibilities
